VAdore Digital Media is a digital marketing agency based in Hyderabad, Telangana, India, specialising in patient acquisition systems for hair restoration clinics. We provide digital advertising management, marketing automation, lead follow-up systems, and related services.

2. Services

Our services include but are not limited to:• Digital advertising campaign management and optimisation across social media platforms
• Patient acquisition system setup and configuration
• Automated messaging and follow-up sequence setup using pre-approved communication templates
• Lead management and CRM configuration
• Front desk training and written standard operating procedure delivery
• Weekly performance reporting

All services are delivered as described in the written proposal provided to the client before work begins.

3. Client Responsibilities

• Provide accurate business information and timely access to required accounts and platforms
• Maintain the agreed minimum monthly advertising budget, paid directly to the advertising platform
• Ensure all advertising content complies with applicable Indian laws and relevant platform advertising policies
• Designate a responsible contact to follow the training and SOP we provide
• Notify us promptly of any changes to their business, accounts, or contact details

Delays caused by missing access, unresponsive clients, or platform policy violations by the client are not the responsibility of VAdore Digital Media.

4. Payments

• A one-time setup fee is charged before work commences
• A monthly management retainer is charged on the agreed billing date each month
• All fees are quoted and charged in Indian Rupees (INR) unless otherwise agreed in writing
• Work begins only after the initial payment is received and confirmed
• Advertising spend is paid directly by the client to the relevant advertising platform and never passes through VAdore Digital Media

5. Refund Policy

All payments are non-refundable once work has commenced. This includes the setup fee and any monthly retainer payments already made. Refunds are only issued where explicitly promised in writing prior to payment.If you are dissatisfied with our services, please contact us at [email protected] and we will work to resolve the issue in good faith.

6. Engagement Period and Termination

• The initial engagement period is 3 months from the go-live date
• After the initial period, the engagement continues on a month-to-month basis
• Either party may terminate with 30 days written notice after the initial period
• We reserve the right to suspend or terminate services immediately if a client breaches these terms, fails to make payment, or acts in bad faith
• Upon termination, we will hand over all assets belonging to the client including advertising account access and client data

7. Intellectual Property

All systems, automation architecture, workflow logic, follow-up sequences, processes, and methodologies developed by VAdore Digital Media remain our intellectual property unless explicitly transferred in writing. Clients may use these systems for the duration of the engagement. Upon termination, clients may not replicate, resell, or distribute our systems or methodologies to third parties.Advertising creatives, copy, and content produced specifically for the client's brand belong to the client upon full payment.

8. Third-Party Platforms

Our services rely on various third-party software platforms and advertising networks. We are not responsible for downtime, policy changes, account restrictions, or errors on these platforms. Performance impacts caused by third-party platform changes are outside our control.

9. No Guarantee of Results

We provide services on a best-effort basis using proven systems and processes. However, we make no guarantee of specific results including lead volume, consultation bookings, or revenue outcomes. Results depend on factors outside our control including advertising budget, market conditions, and clinic operations.

10. Limitation of Liability

VAdore Digital Media shall not be liable for indirect, consequential, or incidental damages including but not limited to lost revenue, lost advertising spend, or business losses. Our total liability in any matter shall not exceed the total fees paid by the client in the 30 days preceding the claim.

11. Governing Law

These Terms & Conditions are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana, India. Disputes will first be attempted to be resolved through mediation before legal proceedings.

Billing Policy

This Billing Policy forms part of our Terms & Conditions. By engaging our services, you agree to the following billing terms.

1. Fee Structure

Our fees consist of two components:One-time setup fee: Charged before work commences. Covers system build, configuration, testing, and staff training
Monthly management retainer: Charged on the same date each month. Covers ongoing advertising management, system monitoring, optimisation, and weekly reporting

The exact amounts are confirmed in the written proposal provided before engagement begins. Advertising spend is separate and is paid directly by the client to the relevant advertising platform — it never passes through VAdore Digital Media.

2. Currency and Payment Methods

• All fees are quoted and charged in Indian Rupees (INR)
• Accepted payment methods: UPI, NEFT/IMPS bank transfer, or other methods agreed in writing
• Payment details are provided on the invoice

3. Payment Timing

• The setup fee must be paid in full before any work begins
• Monthly retainer is due on the date specified in your agreement
• If payment is not received within 7 days of the due date, services may be paused until payment is received
• Reactivation of paused services may require an additional administrative fee

4. Invoices

An invoice will be issued before each payment. Invoices are sent to the email address provided by the client. It is the client's responsibility to ensure their contact and billing details remain current.

5. Refunds

• The setup fee is non-refundable once work has commenced
• Monthly retainer payments are non-refundable for the month in which they are paid
• Refunds are only issued if explicitly promised in writing before payment was made
• If you believe a payment was made in error, contact us within 48 hours at [email protected]

6. Late Payments

Payments not received by the due date may result in:• Pause of all active advertising campaigns
• Suspension of automation and reporting services
• Termination of engagement if payment is not received within 14 days of the due date

7. Price Changes

We reserve the right to revise our fees. Any changes will be communicated to existing clients with a minimum of 30 days written notice before taking effect.

Clients are responsible for ensuring their patient data handling complies with all applicable Indian data protection regulations.

4. Third-Party Platforms

Our services involve the use of third-party software platforms and advertising networks. We are not affiliated with, endorsed by, or sponsored by any of these platforms. We are not responsible for platform outages, policy changes, feature modifications, or any resulting impact on service delivery.

5. Medical and Healthcare Disclaimer
